Article 1 – The Webshop
1.1 These Terms and Conditions apply to:

1.2 To keep these Terms and Conditions clear and understandable, the following definitions apply:
Consumer: A customer acting for purposes outside their trade, business, craft, or profession;
Right of Withdrawal: The right of a Consumer to cancel a distance contract or an off-premises contract within the statutory period without giving any reason;
Customer: Any person or legal entity entering into an Agreement with the Webshop;
Agreement: Any contractual relationship between the Webshop and the Customer;
Webshop: The party referred to in Article 1.1.
1.3 In these Terms and Conditions, the Webshop and the Customer may jointly be referred to as “we”, “us”, or “our”. The terms “you” and “your” refer to the Customer.
Article 2 – Applicability
2.1 These Terms and Conditions apply to every offer made by the Webshop and to every Agreement between you and the Webshop. Any terms and conditions used by you shall not apply unless expressly accepted in writing by the Webshop.
2.2 If any provision of these Terms and Conditions is found to be invalid or unenforceable, all remaining provisions shall remain in full force and effect. In such cases, the parties shall agree on a replacement provision that reflects the purpose and intent of the original provision as closely as possible.
Article 3 – Offers
3.1 All offers made by the Webshop are non-binding and may be accepted within the period stated in the offer. If no period is specified, the offer remains valid for 14 days. Partial acceptance or rejection of an offer is not possible. In such cases, the entire offer shall lapse.
3.2 The Webshop ensures that all offers contain a complete and accurate description of the products and/or services offered. Any images, videos, or other visual representations provide a truthful representation of the products and/or services.
3.3 The Webshop shall not be bound by obvious errors or mistakes in an offer, including typographical, pricing, or calculation errors.
Article 4 – Performance of the Agreement and Delivery
4.1 An Agreement is concluded once you have accepted the offer and fulfilled any conditions stated by the Webshop. The Webshop will provide confirmation of the Agreement within a reasonable period, and no later than delivery of the goods or before performance of the service.
The confirmation shall include:

all legally required consumer information;

where applicable, confirmation of the Consumer’s express consent regarding statutory exceptions to the Right of Withdrawal.
Until such confirmation has been received, you may dissolve the Agreement.
4.2 The Webshop will make every reasonable effort to perform the Agreement carefully and promptly. Orders will generally be delivered within 30 days of the conclusion of the Agreement unless a different delivery period has been agreed. If delivery cannot be made within this period, you may terminate the Agreement.
4.3 Delivery shall be made to the address provided by you. If the delivery address is located outside the Netherlands, the Webshop reserves the right to refuse the order without liability for any damages.
4.4 The Webshop may engage third parties, subcontractors, or delivery services to perform the Agreement. The risk of loss or damage to products remains with the Webshop until delivery to you, unless otherwise agreed.
4.5 You are required to provide all information necessary for the performance of the Agreement in a timely manner. Failure to do so may result in suspension of performance by the Webshop without prejudice to its other rights.
Article 5 – Prices
5.1 For Consumers, all prices displayed include VAT and any applicable taxes, charges, and additional costs. For business customers, prices are generally exclusive of VAT unless explicitly stated otherwise.
5.2 Products or services whose prices depend on fluctuations in financial markets beyond the control of the Webshop may be offered at variable prices. This will be clearly stated.
5.3 The Webshop may adjust prices within three months after conclusion of the Agreement if required by changes in laws or regulations. After three months, the Webshop may also pass on increases in shipping, transportation, delivery, or administrative costs.
5.4 Consumers have the right to terminate the Agreement if a price increase occurs under Article 5.3. Business customers may only terminate the Agreement if the increase exceeds 5% of the agreed total price unless the Webshop agrees to absorb the increase.
Article 6 – Payment
6.1 Invoices must be paid within 14 days of concluding the Agreement unless otherwise agreed. Consumers cannot be required to pay more than 50% of the purchase price in advance where prohibited by law.
6.2 Consumers are only in default after receiving a notice of default granting at least 14 days to make payment. If payment remains outstanding, statutory interest and collection costs may be charged.
6.3 Business customers may not offset, suspend, or reduce payments. Failure to pay on time results in immediate default and liability for statutory commercial interest.
6.4 Payments shall first be applied to costs and interest and then to the oldest outstanding invoices.
6.5 In the event of liquidation, bankruptcy, suspension of payments, or loss of control over assets by the Customer, all outstanding obligations become immediately due and payable.
Article 7 – Warranty
7.1 The Webshop guarantees that its products and services conform to the Agreement and meet reasonable expectations based on their description and intended use.
7.2 Any additional warranty provided by the Webshop does not affect the statutory rights of Consumers.
Article 8 – Intellectual Property Rights
8.1 All intellectual property rights, including copyrights in offers, designs, drawings, images, models, and other materials supplied by the Webshop, remain the property of the Webshop unless otherwise agreed in writing.
8.2 Materials and information supplied by the Webshop may not be copied, reproduced, disclosed, or provided to third parties without prior written consent.
Article 9 – Right of Withdrawal
9.1 Consumers have the right to withdraw from a distance contract within 14 days without giving any reason.
The withdrawal period begins:
a. for contracts involving goods, on the day the Consumer or a designated third party receives the goods;
b. for service contracts, on the day the Agreement is concluded;
c. for contracts relating to digital content, utilities, or district heating, on the day the Agreement is concluded.
9.2 To exercise the Right of Withdrawal, the Consumer must notify the Webshop through an unequivocal statement. The model withdrawal form may be used for this purpose.
9.3 If the withdrawal form was not provided, the withdrawal period may be extended by up to twelve months as permitted by law.
9.4 The Consumer must return the goods within 14 days after notifying the Webshop of the withdrawal. Return shipping costs are borne by the Consumer unless otherwise required by law.
9.5 Upon withdrawal, the Webshop will refund all payments received, including standard delivery costs, within 14 days of receiving the withdrawal notice.
9.6 The Consumer bears the burden of proof for timely exercise of the Right of Withdrawal.
Article 10 – Exclusion of the Right of Withdrawal
10.1 Business customers are not entitled to the Right of Withdrawal.
10.2 The Right of Withdrawal may be excluded where legally permitted and where the Consumer has been informed prior to conclusion of the Agreement.
This includes:

custom-made products;
-
products manufactured according to customer specifications;

hand-painted models made to order;
-
custom decals;
-
sealed hygiene products once opened;
-
digital content supplied after performance has begun with the Consumer’s prior consent.
Article 11 – Termination
11.1 Agreements may be terminated in accordance with the agreed termination conditions.
11.2 Consumers are entitled to the statutory termination rights applicable to continuing agreements.
11.3 Business customers may only terminate an Agreement where expressly agreed.
Article 12 – Personal Data
12.1 The Webshop processes personal data only in accordance with applicable privacy legislation, including the General Data Protection Regulation (GDPR).
12.2 The Webshop implements appropriate technical and organisational measures to protect personal data.
12.3 Personal data will only be shared with third parties where necessary for performance of the Agreement or where required by law.
12.4 Data subjects have the right to access, correct, delete, restrict processing of, object to processing of, and transfer their personal data as provided by law.
Article 13 – Complaints
13.1 The Webshop maintains a clear complaints procedure.
13.2 Complaints regarding performance of the Agreement must be submitted within two months after the issue has been discovered.
13.3 The Webshop aims to respond to complaints within 14 days.
13.4 Customers should first contact the Webshop directly. If the Webshop is a member of WebwinkelKeur and no solution can be reached, the complaint may be submitted to WebwinkelKeur via:
13.5 If mediation does not result in a solution, the complaint may be submitted to the independent dispute resolution body appointed by WebwinkelKeur.
Article 14 – Governing Law and Jurisdiction
14.1 All Agreements are governed exclusively by Dutch law.
14.2 Disputes may be submitted to the competent courts. Unless mandatory law provides otherwise, the court in the district where the Webshop is established shall have exclusive jurisdiction.
